Terms of Service (ToS)

1. Definitions

• “Service”: the Prospector AI platform, accessible via prospector-ai.fr, used to collect B2B company data and generate AI-assisted prospecting emails.
• “User”: any natural person of legal age, or any legal entity, that has created an account on the Service.
• “Token”: the Service’s internal unit of consumption; 1 token = 1 company scanned OR 1 AI email generated. AI qualification (search by natural-language criteria) consumes a number of tokens proportional to the depth of analysis of each company, with a minimum of 1 token per company analyzed; the estimated cost is shown in the Service before any run is started.
• “Plan”: a subscription plan (Starter, Essential, Pro, Business) with a monthly or annual token allowance.
• “Pack”: a one-off purchase of additional tokens (Small, Medium, Large) on top of a Plan.

2. Description of the service

Prospector AI is an online service that allows a professional User to:

• access a database of public B2B companies, aggregated from several third-party sources and updated regularly;
• generate personalized prospecting email drafts using generative AI (Anthropic Claude);
• connect their Gmail or Outlook mailbox for storing and sending emails;
• manage multi-step workflows with automatic detection of replies, bounces and unsubscribes.

3. Account creation and management

Registration is free and open to any person with the legal capacity to enter into a contract. Creating an account requires a valid business email address and a password meeting the minimum security rules (at least 8 characters, 1 uppercase letter, 1 digit).

The User agrees to provide accurate information and to keep it up to date. The User is solely responsible for keeping their credentials confidential. Any action performed from their account is deemed to have been performed by them.

4. Token system

• Tokens are allocated according to the subscribed Plan and/or purchased Packs. They are deducted in real time for each consuming action.
• For AI qualification, a consumption cap (estimated budget) is applied automatically: when this cap is reached, the search pauses and continuing beyond it requires the User’s explicit confirmation, at which point the User sets an additional budget.
• Token expiration: 1 year from their allocation. After this period, unused tokens expire automatically and cannot be restored.
• Tokens are non-refundable and non-transferable between accounts.
• In the event of termination, remaining tokens can be used until the end of the paid period, after which they are deleted.

5. Acceptable Use Policy (AUP)

The User agrees to use the Service in strict compliance with applicable laws, in particular the GDPR, the Code de la consommation (French Consumer Code) and the Code des postes et des communications électroniques (French Postal and Electronic Communications Code). The following are strictly prohibited:

• spam or aggressive prospecting in violation of the applicable consent rules;
• harassment, whether targeted at companies or their executives;
• reselling, assigning or making available to third parties the data collected through the Service without Prospector AI’s prior written consent;
• using the Service for purposes that are illegal, fraudulent, defamatory or that infringe the rights of others;
• attempting to circumvent technical limits, reverse engineering, or unauthorized access to the infrastructure;
• excessive automation (massive scraping beyond the subscribed quota, API abuse).

Sanctions: in the event of a proven violation, Prospector AI reserves the right to suspend or terminate the account without notice or refund, and to report the facts to the competent authorities where necessary.

6. Service availability and quality

Prospector AI implements reasonable technical means to ensure continuous access to the Service. Availability is nevertheless provided “as is” and may be affected by:

• planned maintenance operations (announced in advance where possible);
• technical incidents at our subprocessors (hosting provider, Stripe, data providers, Anthropic);
• force majeure events.

The quality of the data provided depends on the third-party public sources from which the database is aggregated and regularly updated: Prospector AI guarantees neither the completeness, nor the absolute freshness, nor the accuracy of each record. The Service caches scanned areas for 90 days to optimize cost and speed.

7. Limitation of liability

Prospector AI cannot be held liable for:

• the consequences of any non-compliant use of the Service by the User, in particular sanctions related to sending emails that do not comply with the GDPR;
• errors or omissions in data originating from third-party sources;
• indirect damages, loss of revenue, loss of opportunity, or damage to reputation;
• service interruptions caused by third-party subprocessors.

In any event, Prospector AI’s liability is capped at the amount paid by the User during the twelve (12) months preceding the event giving rise to the damage.

8. Intellectual property

The Service, its software components, its interface and its documentation remain the exclusive property of Prospector AI. The User is granted a personal, non-exclusive and non-transferable right of use, limited to the duration of their subscription.

Data collected through the Service belongs to the User to the extent of its lawfulness. Prospector AI claims no ownership over it, subject to the pre-existing rights of third-party sources.

9. Personal data

The processing of personal data is governed by our privacy policy, which forms an integral part of these ToS.

10. Changes to the ToS

Prospector AI reserves the right to amend these ToS at any time. Any substantial change will be notified to the User by email 30 days before it takes effect.

During this 30-day period, the User may terminate their subscription free of charge. Absence of objection at the end of the period constitutes tacit acceptance of the new ToS.

11. Termination

The User may cancel their subscription at any time from their account area. Access to the Service is maintained until the end of the paid period. No partial refund is made.

Prospector AI may terminate a User’s account:

• in the event of a violation of these ToS (in particular the AUP, §5);
• in the event of persistent non-payment after a 30-day grace period;
• in the event of the Service being discontinued, with 90 days’ notice and a pro-rata refund.

12. Governing law and jurisdiction

These ToS are governed by French law. In the event of a dispute, and after an attempt at amicable resolution, the French courts shall have exclusive jurisdiction — subject to the public-policy rules protecting consumers.
