1. Seller identity

The seller is the publisher of the Prospector AI service, whose full details appear in our legal notice.

2. Products and prices

2.1 Subscriptions

Four subscription plans are offered, on a monthly or annual billing cycle:

The annual cycle gives you the equivalent of 2 months free compared with the monthly cycle.

2.2 Token packs (one-off purchase)

Packs are deliberately more expensive per token than subscriptions. They are non-refundable once the tokens have been credited. Tokens from a pack expire after 1 year, like all other tokens.

2.3 VAT

At launch, Prospector AI benefits from the French VAT exemption for small businesses (franchise en base de TVA) under article 293 B du Code général des impôts (French General Tax Code). The statement « TVA non applicable — art. 293 B du CGI » (VAT not applicable — art. 293 B of the French General Tax Code) appears on all invoices.

If the legal threshold is exceeded, VAT will be applied automatically by Stripe Tax to new transactions, and the reverse-charge mechanism will be applied for intra-EU B2B customers upon presentation of a valid VAT number.

3. Payment terms

Payment is made exclusively by credit or debit card via Stripe, a PCI-DSS Level 1 certified payment provider.

• The charge is taken in advance, before the start of each period (monthly or annual).
• Billing date: on the anniversary date of your subscription (not the 1st of the month).
• Invoices are issued automatically by Stripe and available as PDF downloads in your account area (/dashboard/facturation). No invoice is sent by email: they are accessible at any time on a self-service basis.

4. Failed payment and grace period

If a charge fails:

• Automatic retries: Stripe retries the charge at D+3, D+5 and then D+7. You receive an email with a link to update your payment method. Your existing token balance remains usable, but no renewal is credited until the payment has been settled.
• After 7 days: the subscription moves to past_due status. The account remains functional with the remaining balance, without new tokens.
• After 30 days without settlement: the subscription is markedcancelled. Access is maintained until the end of the paid period, then the account is deleted after a further 30 days.

Monthly tokens not credited due to a failed payment are not granted retroactively after the payment is settled.

5. Right of withdrawal

The Prospector AI service is intended for professional B2B use. The 14-day right of withdrawal provided for consumers by the Code de la consommation (French Consumer Code) does not apply to contracts concluded between professionals (articles L. 221-3 and L. 221-28 of the Code de la consommation).

Nevertheless, as a commercial gesture, Prospector AI grants a voluntary 14-day withdrawal right after the subscription of your first plan, provided that no token has been consumed. The refund is made within 14 days using the same payment method.

6. Automatic renewal

Subscriptions (monthly and annual) renew automatically at each due date via a Stripe charge. The User is free to disable renewal at any time from their account area. Deactivation takes effect at the end of the current period.

Annual subscribers receive an email 7 days before the annual renewal so they can change their choice.

7. Upgrade and downgrade

• Upgrade (to a higher plan): takes effect immediately, with automatic pro-rata calculation by Stripe. The additional tokens of the new plan are credited immediately.
• Downgrade (to a lower plan): takes effect at the next due date. No pro-rata refund. Your existing token balance is fully retained until expiration (1 year).
• Monthly → Annual: you can switch at any time. The remaining monthly period is credited pro rata against the annual price.

8. Refund policy

• Subscriptions: no partial refund during a billing period. Access is maintained until the end of the paid period.
• One-shot packs: non-refundable once the tokens have been credited.
• Accidental double billing: full and immediate refund.
• Exceptional cases: any refund outside the cases above is at Prospector AI’s discretion, upon a reasoned request to contact@prospector-ai.fr.

9. Price changes

• Annual subscribers: price guaranteed for the duration of the current commitment. Any increase only applies from the next renewal.
• Monthly subscribers: email notification 30 days before any price change. The User may cancel free of charge during this period.

10. Termination

The User may cancel their subscription at any time from their account area. Cancellation takes effect at the end of the paid period — no complicated procedure, no fees.

Prospector AI may terminate the contract in the event of a violation of the ToS (see ToS §11).

11. After-sales support

Support is available by email at contact@prospector-ai.fr or via our support form. Average response time: 48 business hours.

12. Disputes and governing law

These Terms of Sale are governed by French law. In the event of a dispute, the parties will endeavour to find an amicable solution. Failing that, the French courts shall have exclusive jurisdiction.

In accordance with articles L. 611-1 et seq. of the Code de la consommation (French Consumer Code), customers may use a consumer mediator free of charge for the amicable resolution of any dispute (subject to eligibility conditions).
